MAIN FUNCTIONS
The Commercial Advisor is responsible for providing strategic commercial leadership across the Company's upstream, midstream and integrated energy portfolio. The role leads the structuring, negotiation and execution of complex commercial transactions, including Host Government Agreements (HGAs) (such as Production Sharing Contracts (PSCs), Joint Venture (JV) arrangements), Farm-In/Farm-Out Agreements, Gas Sales Agreements (GSAs), Crude Oil Sales Agreements and infrastructure development agreements.
The Commercial Advisor acts as the Company's lead negotiator with governments, National Oil Companies (NOCs), International Oil Companies (IOCs), independent producers, financial institutions, investors and strategic partners, ensuring commercial terms maximise value while appropriately allocating risk.The Commercial Advisor is responsible for providing strategic commercial leadership across the Company's upstream, midstream and integrated energy portfolio. TASK AND RESPONSIBILITIES
Commercial Strategy
- Develop commercial strategies for upstream and integrated energy projects.
- Advise Executive Management and the Board on commercial opportunities, risks and negotiation strategies.
- Lead commercial evaluations of new business opportunities, acquisitions, divestments and bid rounds.
- Structure commercially attractive investment models for exploration, production and infrastructure projects.
- Evaluate fiscal regimes and recommend optimal commercial structures.
Transaction Execution
Coordinate due diligence with legal, technical and financial/tax advisers to successfully lead commercial workstreams for various transactions - Mergers & Acquisitions, Asset acquisitions, Divestments, Marginal field transactions, License acquisitions, Licensing/Bid rounds, Strategic partnerships, Infrastructure investments, Energy transition investments, or as required.
Commercial Risk Management
Identify commercial risks across projects and develop mitigation strategies, optimise contractual risk allocation and advise management on commercial exposure and support dispute avoidance and commercial resolution.
Financial & Economic Analysis
Support investment decisions using commercial and economic analysis. Review and challenge economic/valuation model, project economics and fiscal models; ability to build models is a plus.
Stakeholder Management
Represent the company during high-level commercial negotiations. Develop and manage strong relationships with governments, oil companies, financial institutions, multilateral agencies, investors, technical partners, legal advisers, EPC contractors, and others as needed.
Leadership
Establish commercial governance processes and build commercial capability across the organization. Develop negotiation strategies, as well as support board presentations and investment committee decision memos.
Job Requirement
SKILL AND QUALIFICATIONS
- Minimum 15–20 years of commercial experience in the oil and gas industry.
- Significant experience with upstream petroleum developments.
- Proven experience negotiating host government agreements and petroleum contracts.
- Extensive exposure to IOC, NOC and government negotiations.
- Strong background in upstream commercial structuring.
- Experience in Africa; others, such as Middle East/emerging hydrocarbon jurisdictions is a plus.
- Demonstrated involvement in major oil and gas transactions valued in the hundreds of millions or billions of dollars.
- Experience across exploration, development, and production phases.
